On-Set Access
Terms & Conditions

This Agreement is between Miami Cocktail Club, LLC d/b/a Bottles on Set ("Service Provider") and the individual or entity completing the subscription checkout ("Client"). By subscribing, Client confirms they have the authority to enter into this Agreement on behalf of the brand or company being listed.

Acceptance is established upon successful payment processing through Stripe. The checkbox marked at checkout — "I agree to the On-Set Access Terms & Conditions" — constitutes Client's electronic signature and binding acceptance of this Agreement.

The On-Set Access subscription provides Client with the following for the duration of the active subscription:

• A branded catalog listing featuring Client's product(s) within the Bottles on Set filmmaker catalog, shared with our network of filmmakers, prop masters, set decorators, and production decision-makers actively sourcing bev/alc/food products for film and TV productions.
• Visibility among the Bottles on Set filmmaker network of 700+ industry contacts.
• Direct placement requests forwarded to Client when a filmmaker browses the catalog and selects Client's product.
• Access to open placement opportunities available after Pro and Retainer clients are filled, communicated to Client directly on a first-come, first-served basis.
• One onboarding call to capture brand details, product DNA, character archetypes, and occasion context to optimize listing positioning.

The On-Set Access subscription does not include the following, which are available under Bottles on Set's Pro or Studio Partnership tiers:

• Active scouting or custom outreach to productions on Client's behalf.
• Logistics coordination, on-set delivery management, or production communication. When a placement match occurs, Client is responsible for all logistics directly with the production.
• Media Value Reports, scene stills, or clips. These are available as a separate add-on service upon request and subject to an additional fee.
• Script-level negotiations or studio partnership deal structuring.
• Any guaranteed on-screen appearance or confirmed placement in any production.

The On-Set Access subscription is billed at $403 USD per month, charged automatically on a recurring basis through Stripe beginning on the date of initial purchase.

All payments are processed securely by Stripe. By subscribing, Client authorizes recurring monthly charges to the payment method provided at checkout until the subscription is cancelled.

All fees are non-refundable. This includes the month in which cancellation is submitted — the listing remains active through the end of the paid billing period, and no pro-rated refunds are issued.

If a payment fails and is not resolved within 7 days, Bottles on Set reserves the right to suspend or remove Client's listing from the catalog until payment is restored.

Client may cancel their subscription at any time through the Stripe billing portal or by emailing cheers@bottlesonset.com.

Cancellation takes effect at the end of the current billing period. The catalog listing will remain active and visible to filmmakers through that date. No further charges will be made after cancellation is confirmed.

Bottles on Set also reserves the right to terminate or suspend Client's listing at any time, with or without cause, upon written notice. In such cases, a pro-rated refund for the unused portion of the current billing period will be issued at Bottles on Set's discretion.

Client acknowledges and agrees that Bottles on Set makes no guarantee that Client's product will be selected, featured, or placed in any film, television, streaming, or other entertainment production.

Placement decisions are made entirely by filmmakers, prop masters, production designers, and other production-side decision-makers. Bottles on Set does not control, direct, or influence their creative or logistical choices.

The On-Set Access subscription provides discoverability — the opportunity to be seen and considered. Bottles on Set will use commercially reasonable efforts to maintain an active, well-positioned catalog, but does not represent or warrant any specific outcome, frequency of contact, or number of placement opportunities for any individual Client.

Client agrees to:

• Provide accurate, complete, and up-to-date information about their brand and product(s) for catalog listing purposes.
• Attend or respond to the onboarding call within a reasonable timeframe to facilitate proper listing setup.
• Notify Bottles on Set promptly of any material changes to their product, brand identity, or availability.
• Handle all logistics, delivery, and on-set coordination directly with the production when a placement match occurs.
• Ensure that all products submitted for placement comply with applicable laws and regulations, are fit for purpose, and do not infringe any third-party rights.

Client further represents and warrants that it has full authority to enter into this Agreement and that all brand materials and information provided to Bottles on Set are accurate, lawful, and do not violate any third-party intellectual property, privacy, or other rights.

Client grants Bottles on Set a non-exclusive, royalty-free license during the active subscription period to use Client's brand name, trademarks, logos, product names, product images, and other identifying materials solely for the purpose of:

• Creating and maintaining Client's listing within the filmmaker catalog.
• Sharing Client's brand assets with filmmakers and production professionals as part of the catalog service.
• Featuring Client's brand in Bottles on Set's marketing materials, pitch decks, and portfolio in connection with confirmed placements only.

All brand assets remain the sole and exclusive property of Client. This license does not grant Bottles on Set any ownership rights in Client's intellectual property.

Each party may receive confidential or proprietary information belonging to the other in the course of this Agreement. Client agrees not to disclose, publish, or share any non-public information about Bottles on Set's business operations, filmmaker network, pricing, processes, or clients, during the subscription term and for two (2) years thereafter.

Bottles on Set agrees to treat Client's brand and product information with reasonable care and to share it only with relevant production professionals within the filmmaker network for catalog purposes.

These obligations do not apply to information that is publicly known, required to be disclosed by law, or independently developed without reference to the other party's confidential information.

Bottles on Set's total aggregate liability to Client for any and all claims arising under this Agreement shall not exceed the total amount paid by Client in the three (3) months immediately preceding the claim.

Any claim must be brought within one (1) year of the event giving rise to the claim or it shall be permanently barred.

Client agrees to indemnify, defend, and hold harmless Bottles on Set and its affiliates, officers, directors, employees, and agents from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Client's breach of any representation, warranty, or obligation under this Agreement.
• Any product defect, safety issue, or harm caused by Client's products.
• Client's infringement of any third-party intellectual property, privacy, or other rights.
• Client's negligence or willful misconduct.

During the active subscription term and for one (1) year thereafter, Client agrees not to directly solicit, hire, or engage any employee, contractor, or consultant of Bottles on Set with whom Client came into contact through this Agreement, without prior written consent.

Additionally, Client agrees not to bypass Bottles on Set and contact filmmakers, prop masters, or production contacts introduced through the catalog directly for the purpose of circumventing this Agreement or avoiding fees that would otherwise be owed.

Bottles on Set shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including without limitation acts of God, war, terrorism, pandemics, natural disasters, government actions, or failure of third-party platforms or services.

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. Both parties consent to the personal jurisdiction of such courts.

Bottles on Set reserves the right to update or modify these Terms & Conditions at any time. Material changes will be communicated to active subscribers via the email address on file, with at least 14 days' notice before taking effect.

Continued use of the On-Set Access subscription after the effective date of any changes constitutes acceptance of the updated terms. If Client does not agree, they may cancel their subscription before the changes take effect.

Entire Agreement. These Terms & Conditions constitute the entire agreement between the parties with respect to the On-Set Access subscription and supersede all prior communications or agreements relating to the subject matter hereof.

Severability. If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver. Failure to enforce any provision shall not constitute a waiver of that or any other provision.

Assignment. Client may not assign or transfer this Agreement without prior written consent from Bottles on Set. Bottles on Set may assign to any affiliate or successor entity without restriction.

Independent Contractors. The parties are independent contractors. Nothing herein creates any employment, partnership, or agency relationship between them.

Survival. Sections 9, 10, 11, 12, and 14 shall survive termination or expiration of this Agreement.

Notices. All legal notices shall be sent to cheers@bottlesonset.com or by mail to Miami Cocktail Club, LLC, Miami, Florida.

No Third-Party Beneficiaries. This Agreement is solely for the benefit of the parties and does not confer any rights on any third party.
